The fine print, in plain English

These terms govern your use of thinktankev.com and of the Think Tank Cowork premises at 2817 Wetmore Avenue, Everett, WA 98201. By using the website, booking a tour or room, buying a day pass, or entering the premises, you agree to them and to the House Rules below. Members are additionally bound by the Membership Agreement they sign.

Who we are

Think Tank Cowork, LLC, a Washington limited liability company, referred to here as "Think Tank," "the Company," "we" or "us." Our member portal is powered by OfficeRnD at thinktankev.officernd.com.

What a membership is, and is not

A membership is a limited license to use the premises. In the words of the agreement, it is the commercial equivalent of an agreement for accommodation in a hotel. It creates no real property interest, no landlord-tenant relationship, and no lease. The premises stay in the Company's possession and control, including private offices. The space may not be used to establish a personal residence.

Hours

• Regular business hours are 9:00am to 5:00pm on regular business days.
• Regular business days are weekdays, excluding state and federal holidays and up to five other weekdays a year, which we will tell you about at least 14 days ahead.
• After-hours access is available to eligible memberships through the keyless entry system, subject to the landlord's requirements. We are not liable if after-hours access fails.
• We observe eleven holidays: New Year's Day, Martin Luther King Day, Presidents Day, Memorial Day, Independence Day, Labor Day, Veterans Day, Thanksgiving, the day after Thanksgiving, Christmas Eve and Christmas Day. Members with after-hours access keep it on those days.

Our reserved rights

We may enter any part of the premises, including a private office, at any reasonable time, with or without prior notice, to provide services or for safety, health or emergency reasons. We may move furniture, alter or improve the space, and modify or reduce the list of services and furnishings, provided we do not reduce the square footage of an assigned private office.

What you may not use the space for

• Lottery contests, pyramid schemes, chain letters, junk email or spamming.
• Defaming, abusing, harassing, threatening or otherwise violating the rights of others.
• Posting or distributing profane, defamatory, obscene, indecent or unlawful material.
• Infringing anyone's intellectual property.
• Uploading viruses, corrupted files or anything that could damage the equipment of the premises or another member.
• Any illegal business activity, or conduct that could damage the property or reputation of others.

Our name and your name

You may not use the Think Tank Cowork name, marks, logos or trade dress, or photographs of the premises, for any purpose without our prior written consent. In turn, joining grants us permission to display your name, trademark or logo on the public membership display on thinktankev.com and to use it incidentally in promotion, during and after your term.

Confidentiality

You may overhear or come across confidential information belonging to us or to other members. Keep it to yourself, and make sure your team and guests do the same.

Governing law

Washington law governs. Venue for any legal proceeding is Snohomish County, Washington. The substantially prevailing party is entitled to reasonable attorneys' fees and costs.

Changes

We may revise the House Rules, the network terms and our policies at our discretion, and will communicate changes in a timely manner. Continued use of the space means you accept them. The Membership Agreement itself can only be changed by a written instrument signed by all parties.

What every membership includes

• Non-exclusive use of the common coworking space, including the café, outdoor deck, conference rooms, phone booth and print galley.
• The member portal, the shared internet connection, and shared printers, copiers and scanners.
• Furnishings from our inventory, subject to availability.
• Climate control during regular business hours.
• Acceptance of mail and deliveries during regular business hours.
• The chance to take part in member-only events and promotions.

Printing

Black and white printing is complimentary, up to 150 pages per month. We may charge a per-page fee above that limit. Color printing and any overage are billed at the rates in the member portal.

Room credits

• Credits are allocated monthly and are valid only in the month they are issued. No rollover, no borrowing against future months.
• Go over your credits and you are billed at the prevailing room rate shown in your portal account.
• Day pass users, limited memberships and guests get no credits and pay the non-member rate.

Specific memberships

Private Office

A 2–3 person office with a sit-stand desk, ergonomic chair and filing cabinet, maintained by us. Access by a 4-digit keypad code you set. Door frosting is by our preferred vendor only, black logo, sized to match the other offices, and needs management approval. Do not remove the identification stickers on ports or outlets. A walk-through with management happens before move-in — note anything then, because that is the record.

Dedicated Desk

A furnished desk with ergonomic chair, keyed file cabinet, dividers and waste bin. Dividers and the artwork above the desks stay exactly where they are. No hanging personal items in the dedicated desk area, and no swapping our furniture for your own. The cabinet key is your responsibility; a lost key means a fee.

Coworking

Unlimited visits and access to all common areas.

Flex

Five day passes a month, business hours only. Flex members are not given a security alarm code, and door access is limited to the two main entrances and the rooftop deck. Not sold on the website; available on request.

Day Pass

Your team

• Only people on your Team List get the benefits of your membership. Your Primary Contact must be an Authorized Signatory with an email on file.
• Additional team members beyond your plan's allowance are $50 per person per month, and each adds two monthly room credits.
• To change the Team List, your Primary Contact emails [email protected] from the address on file, naming the departing and new people and the effective date. Changes take effect only once we confirm them.
• When someone leaves your company, tell us and update their profile. Their access ends.
• You are responsible for getting each team member's consent before we create a profile for them.

Your login and your keys

You and each team member create a profile and password in the member portal and are responsible for keeping them confidential. Tell us at once if a password may be compromised. The portal is run by OfficeRnD; we are not liable for its downtime, malfunction or a breach of it.

Keys issued by us must be returned when your agreement ends. Lost keys are $50 each plus a re-keying charge. No duplicating keys, and no giving them to anyone outside your Team List.

Mail and packages

We accept mail and packages addressed to you during regular business hours, entirely at your own risk. We have no obligation to hold anything longer than 14 days, and once your agreement ends we have no obligation to forward or hold anything at all.

How billing works

• Membership fees are due in advance on the first day of each month.
• Payment is by direct withdrawal or credit card, arranged before the amount is due. Two failed credit card payments and we may require ACH.
• Keep your bank or card details current, and keep enough in the account. Insufficient-funds charges are yours.
• On commitment terms longer than twelve months, the fee increases 5% at the start of the second year. That is price protection against a full market adjustment, not a surprise.
• Money you send is applied in this order: first to fines, penalties and damage costs; then to the oldest arrears; then to what is currently due.
• If anything stays unpaid seven days after we give notice, we may withhold services or terminate the agreement.

Refunds

Security deposit

Private office members pay 50% of the monthly fee as a deposit. It is a retainer for performance, not a fund you can pay fees out of. We may use it to cover unpaid amounts, repair damage, or remedy a violation. What remains is returned by ACH within 30 days of the last of: the agreement ending, you giving us the account details to pay it to, and you completing every obligation you owe under the agreement.

Moving out of a private office

Return the office and furniture in as good a condition as you found it, normal wear excepted, and at least broom clean. You will be invoiced $150 per office for painting plus any repairs, and $100 per user for cleaning. Anything you leave behind may be invoiced for removal.

The clause people read first. Read this one twice.

How the term works

• The agreement starts when both parties sign and runs to the termination date on your membership details form. That stretch is the Commitment Term.
• We are not obliged to provide anything until we have your security deposit and first month's fee, or until your start date, whichever is later.
• Private office members can move in after 8:30am on the start date, or on the next business day if the start date is not one.
• After the Commitment Term the agreement continues month to month until someone ends it. If no term is specified, the default is one month.

Notice to cancel

What notice does and does not do

• Notice must be in writing.
• Termination takes effect on the last regular business day of the termination month. Vacate by 4:00pm that day.
• The last month's fee is not prorated.
• Giving notice does not release you from money you owe. You remain responsible for the full membership fee for the whole Commitment Term, even if you leave early.
• Remove everything belonging to you and your team before the end. Anything left behind, we may dispose of, with no obligation to store it and no claim from you — and you may be billed for the removal.

When we can end it

We may withhold services or terminate immediately on: a breach by you, your team or your guests; the loss or expiry of our own rights to the premises; any amount left unpaid seven days after notice; conduct that in our judgment threatens anyone's safety, health or security; or on 30 days' written notice, with no notice required in an emergency. Suspension or termination does not wipe out what you already owe.

Cancelling before you start

Write to us. Cancel more than one full calendar month before the start date and you may be entitled to the setup fee back, less any charges.

What it covers

Access to the premises and common coworking space for one operating business day, Monday to Friday, 9am to 5pm.

Rate

$59 booked at least 24 hours ahead, $79 same day, or four passes for $190. Members and Flex members drop in at the member rate shown in the portal.

Room credits

None. Meeting rooms are booked and paid separately at the non-member rate, during business hours only.

Podcast studio

Not included. The Beat Podcast Studio is a member amenity and is not bookable on a day pass.

Guests

Not permitted. A day pass is for one person and carries no hosting privileges.

Sharing and reuse

Day passes may not be shared and are good for a single use.

Cancellation

Cancel at least 24 hours before the booked day for a refund. Inside 24 hours there is no refund.

Day pass holders are bound by the House Rules and the network terms below for the length of the visit.

The Bulb

Seats 6. $65 per hour for non-members.

The Huddle

Seats 12. $85 per hour for non-members.

Member rate

50% off the listed price, after your monthly credits are used.

When the public can book

Regular business hours only, 9am to 5pm on business days. Rooms are locked Fridays at 5pm, and the rooftop deck is closed at weekends and outside business hours. This is deliberate: the building is not staffed after hours.

After hours

Members with after-hours access may arrange out-of-hours room use with staff, at our discretion.

How to book

Through the member portal. A reservation without written confirmation from us may not be complete — follow up if you have not heard back.

Cancellation

Cancel at least 24 hours before the booking starts for a refund. Inside 24 hours there is no refund, whether the room goes unused or the meeting simply moves.

Rules of the room

• No using a room without a reservation, even if it is empty and shows no occupancy.
• No spreading out in a room between reservations.
• Room furniture stays in its room.
• Whiteboards yes, walls and windows no.
• On the way out: bin the rubbish and recycling, take your pens and cups, wipe the table and chairs with the cleaner provided, and return chairs to their lowest seat and armrest setting, pushed in.
• The booking holder is responsible for their guests and for any damage.

Every guest must be accompanied by a member or team member at all times, and every guest must sign in on arrival by scanning the QR code at the front entrance. That check-in is how we know who is in the building.

What counts as a guest

A guest is an external visitor — a client, a customer, a personal contact. Your own colleagues are not guests. Employees and coworkers from your company are users: they need their own membership or a day pass, unless they are attending a scheduled meeting in a room you have booked. Staying in the space outside that meeting requires their own access.

Beyond the allowance

Extra guests are welcome when you have booked a meeting room, as long as the total does not exceed the room's capacity. Anyone who stays past the meeting, or who was not there for the meeting in the first place, has to fit inside your monthly guest allowance or buy a day pass.

No membership includes free meeting rooms

Coworking, Dedicated Desk and Private Office plans get a set number of credit hours. There is no unlimited room access on any plan.

You are responsible for them

Members are responsible for their guests' conduct and for making sure they follow these rules and the Membership Agreement.

Exhibit B of the Membership Agreement, in shorter sentences. These apply to everyone in the building — members, team members, guests and day pass holders alike. Short version: this is a shared room full of people trying to get work done.

General

• Treat the space and the people in it with consideration. Leave anything you use as you found it.
• No noise or odors that unreasonably bother other people, and nothing that causes vibration.
• No smoking or vaping anywhere on the premises or around the building, front or back. Go down the street.
• No weapons, and nothing dangerous, flammable or explosive.
• No portable heaters.
• No bikes, scooters, skateboards, mopeds or motorcycles except in areas meant for them.
• No children on the premises.
• No animals except service dogs.
• Do not use other people's things without asking. Respect their privacy — that includes monitors, whiteboards and the printer.
• You are responsible for your own belongings and for taking them with you, unless they are in your private office, on your dedicated desk, or in your locker. Anything left may be disposed of after a reasonable time.
• You pay for what you damage or lose.
• Read the notices we send about changes to services and fees. Missing one is not a defense against a late fee.
• Tell us right away when your contact or payment details change.

Noise and calls

• Keep the working atmosphere quiet, and watch your volume on calls.
• If a call is going to disturb people, take it in the hall, outside, or in a bookable space.
• Speaker phone is prohibited outside a private office or a conference room.
• Shut doors between spaces when you are talking, and be especially careful near rooms with meetings running.
• The Beat Podcast Studio and The Booth can both be booked through the portal when you need to talk.

Café, refrigerator and freezer

• Label your food with your name and the date. Do not eat anything that is not yours without asking.
• The refrigerator is cleaned out every Friday at 12 noon. Unmarked or expired items go in the bin.
• Café items are a member privilege for use in the building — not to take home or use for events.
• Store only what you need. Others need the space too.
• Rinse your dishes and load the dishwasher, which runs on delicate only. Wipe up spills straight away.

Cleanliness

• Empty cups before they go in the trash, and scrape food into the bin before dishes go in the sink.
• Recycling must be clean and dry. No pizza boxes, no creamers, no food, no plastic bags.
• Tidy your desk when you are done with it, and keep the common areas tidy.
• The dumpster is out back across the parking lot. Break your boxes down and carry them out. Private office members empty their own bins. Dumpster keys hang beside the first aid kits — lock the padlock and put the key back.

Fire and flame

No open flame of any kind, including candles and incense. Essential oil diffusers are allowed in private spaces with the door shut, and staff may withdraw that if the scent reaches other people. Fire extinguishers are on every level — find the one nearest your desk before you need it.

• Every event, whatever the size, needs prior approval from management.
• Any gathering of more than three people needs 14 days' notice and completed paperwork before planning starts.
• Events are not part of any membership and are billed separately.
• Members may reserve the common coworking space for private events for a fee. We may also reserve the space for our own private events after regular business hours.

Alcohol

• Washington Administrative Code 296-800-11025 requires workplaces to prohibit alcohol and narcotics, and to keep anyone under the influence off the worksite. It does not apply to sanctioned events such as parties or picnics that employees are not required to attend and are not paid for.
• Serving alcohol at any event requires a Banquet Permit from the Washington State Liquor and Cannabis Board, given to us at least one day before.
• The hosting member is fully responsible for anything arising from alcohol served, and for making certain no one under 21 is drinking.

Running the event

• Doors are never propped open, event or not. Station someone at the door to let guests in.
• The host is responsible for all cleanup. The space goes back to its original condition, rubbish out, dishes and utensils in the dishwasher.

We do not cover paid parking for members. Current recommendations for parking nearby are kept in the member portal, and prices change without us knowing. Where we do provide access to parking, it is a license we can revoke at any time, and it creates no bailment.

• The lot behind the building is staff only, except at weekends.
• Full-size passenger vehicles only. No trailers, shipping containers, boxes, pallets or storage of any kind.
• Load and unload only where we say.
• Follow posted signs, park in marked spaces, and lock your own vehicle.
• No washing, waxing or cleaning vehicles in the lot.
• No overnight parking. Vehicles left overnight may be towed at the owner's expense.
• We may relocate or remove parking spaces, and the building owner may add rules at any time.
• Neither we nor the building owner is responsible for damage to vehicles, injury, or lost property. Using the lot means accepting that risk.

Doors

Entry and exit doors stay secured at all times, except for normal business deliveries between 9am and 5pm. Doors are never propped open — it is a security breach against everyone's belongings. Propping a door carries a $500 fine to the responsible member, whether it was them, their team member or their guest.

Recording and monitoring

First aid

Kits are on the main level by the lockers and on the basement level behind the stairwell door. Email [email protected] when anything runs low.

Repairs

Tell us immediately about anything that needs repair, and about any accident or damage to electrical, plumbing, mechanical, telecom or HVAC systems. Do not alter or improve any part of the space, and do not change or add locks, without our written consent.

Exhibit C of the Membership Agreement. Using the connection means accepting these terms, and you accept the current version each time you connect.

Access

• Access is at our discretion and can be blocked or suspended at any time, including to protect the network or other users.
• Wi-Fi works within range of the access points; other areas have Ethernet ports.
• We are not responsible for interruptions or performance. Speed varies with your device, location, congestion and much else. Your devices and software are your own responsibility.
• Some functions may require you to install software we specify. You release us from claims arising out of that installation and from any technical support we give you.

Privacy on the network

No internet connection is completely secure. Treat nothing you send over it as private. Subject to law and our privacy policy, we have the right — though not the obligation — to monitor, intercept, review and disclose transmissions over the connection in order to comply with lawful process or to protect our rights, property and users.

What you may not do

• Transmit viruses, worms, spam, or anything defamatory, unreasonably offensive or obscene.
• Place an unreasonable load on the network, or threaten its security or anyone else's.
• Circumvent restrictions on your access.
• Infringe anyone's intellectual property.
• Share our IP address or internet connection with anyone else.
• Resell, retransmit or redistribute the connection without our written consent.
• No BitTorrent and no pornography.

Breaking these terms can carry civil or criminal liability. We may report breaches to law enforcement and cooperate with them.

Insurance you must carry

Your property

You are fully responsible for your own belongings and those of your team and guests. We disclaim all responsibility for personal property in the space, and to the extent the law allows, you waive claims against us, our affiliates and the landlord for damage to, destruction of, theft of or loss of any personal property.

Our furniture

Furnishings belong to us, stay on the premises, and may only be moved with staff approval. You take them as-is, have a duty to inspect them, and use them at your own risk. Damage means you pay the full cost of repair or replacement.

Third parties

We do not run background checks on members or guests, we do not verify profiles, and we cannot guarantee anyone's personal security. Other people in the space may not be who they say they are. Any third-party products, services or advertisements you reach through us are between you and that third party.

Warranties

Services are provided "as is." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

Indemnity and limits

• You release us from liability for damage or injury related to the agreement, including as a result of our own negligence, but not for our unlawful acts.
• You will defend and indemnify us against claims arising from the acts or omissions of you, your team, your guests and their invitees, and from any breach of the agreement or the house rules. We control the defense of those claims.
• Our total liability to you for any and all causes of action is capped at the membership fees you paid in the 12 months before the claim arose.
• We are not liable for indirect, special, incidental, consequential, reliance or punitive damages, including lost profits or business interruption.
• We are not in breach for delays or failures beyond our reasonable control, including anything under the landlord's control.
• The agreement includes a COVID-19 waiver: you assume the risk of using the space and waive related claims.

Member and team profiles

Profile details created in the OfficeRnD member portal, for you and everyone on your Team List.

Payment information

Processed through OfficeRnD. We see billing records and transaction history. We do not store full card numbers.

Booking history

Which rooms you booked, when, and for how long.

Door access logs

Keyless and keycard entry events tied to your credential, with timestamps, plus alarm arm and disarm events.

Guest check-ins

The QR code sign-in at the front entrance records who visited, when, and who hosted them.

Audio and video recording

Common and public areas only, for security, with signage posted in the space. Restrooms, phone booths and private offices are not recorded.

Network activity

We reserve the right to monitor and review traffic over our connection, as described in the network terms.

Website analytics

Google Analytics collects pages viewed, approximate location, device and referral source.

Advertising

The Meta pixel records website activity and reports it to Meta so we can measure and target Facebook and Instagram ads.

Why we collect it

• To answer you, schedule your tour, and run your membership or booking.
• To take payment and keep accurate billing records.
• To keep the building secure, know who is inside, and investigate incidents.
• To understand which pages and ads bring people in.
• To send you email you asked for. Unsubscribe whenever you like.

Who else sees it

We do not sell your personal information. We share it with the vendors who make the business run:

• OfficeRnD — memberships, bookings, payments, member portal.
• GoHighLevel — contact forms, tour scheduling, email and CRM records.
• Kisi — keyless door access and entry logs.
• Our security camera and alarm provider — recorded footage and alarm events.
• Google Analytics — website measurement.
• Meta — advertising measurement and targeting.

We may also disclose information when the law requires it, or to protect the safety of people in the space.

Your business name and logo

Joining grants us permission to display your name, trademark or logo on the public membership display on thinktankev.com and to use it incidentally in promoting the space, during and after your term. Tell us if you would rather we did not, and we will take it down.

How long we keep it

We keep information only as long as we need it for the purpose we collected it. Billing and tax records are kept as long as the law requires. Security footage is recorded on a rolling basis and overwritten in the normal course, and is reviewed only when there is a specific security reason. Ask us and we will tell you what we still hold about you.

Your choices

• Ask for a copy of what we hold about you, or ask us to correct or delete it. Some records, like billing history, we are required to keep.
• Unsubscribe from marketing email using the link in any message.
• Opt out of Google Analytics with Google's browser add-on, and adjust ad targeting in your Meta account settings.
• Residents of states with comprehensive privacy laws, including California, have additional rights. Contact us and we will honor them.

Children

Children are not permitted on the premises, and the website is not directed at children under 13. We do not knowingly collect their information.

Cookies are small files a website stores in your browser. Ours fall into three groups.

Necessary

Make the site work — page delivery, form submission, and the booking widgets. These cannot be switched off.

Analytics

Google Analytics, which tells us which pages people read and where they arrived from, in aggregate.
